Section 01

Acceptance of These Terms

By accessing or using the Paydback application or website (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Paydback LLC (“Paydback,” “we,” “us,” or “our”), a company organized under the laws of the State of Georgia.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes.

Section 02

What Paydback Is — and Is Not

Paydback is a loan facilitation and record-keeping platform. We provide the technology and structure that allows individuals who already know each other to document, track, and complete informal loan agreements.

Paydback is not:

• A bank, credit union, or licensed lender
• A financial advisor or investment platform
• A debt collection service
• A custodian of your funds at any time

We do not extend credit, guarantee repayment, or assume liability for the outcome of any loan agreement made between users. Paydback provides structure — the agreement itself remains between the parties.

Section 03

Eligibility

To use Paydback, you must:

• Be at least 18 years of age
• Be a resident of the United States
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using financial technology services under applicable law

By creating an account, you represent and warrant that you meet all of the above requirements. We reserve the right to request verification and to suspend or terminate accounts that do not meet these criteria.

Section 04

User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.

You may not share your account with others, create accounts on behalf of third parties without authorization, or use another person’s account without their explicit consent.

You are solely responsible for all activity that occurs under your account.

Section 05

Payment Processing — Non-Custodial by Design

All payments made through Paydback are processed by Stripe, a third-party payment processor. Paydback does not hold, store, or control user funds at any point in the transaction process.

When a borrower repays a loan through the Service, those funds are transmitted directly to the lender via Stripe. Paydback’s role is limited to initiating and tracking the transaction within the platform.

By using the payment features of the Service, you also agree to Stripe’s Terms of Service. Any payment disputes, failures, or errors are subject to Stripe’s policies and dispute resolution procedures.

Paydback is not responsible for failed transactions, delays, or errors attributable to Stripe or your financial institution.

Section 06

User Responsibilities

You agree to use the Service only for lawful purposes. You may not use Paydback to:

• Facilitate loans involving illegal activity, fraud, or coercion
• Harass, threaten, or intimidate other users
• Misrepresent loan terms or your identity to another party
• Use the platform for commercial lending or any activity requiring a lending license
• Attempt to circumvent, reverse-engineer, or interfere with the Service
• Violate any applicable federal, state, or local law or regulation

Loan agreements created through Paydback are between users. You are solely responsible for the accuracy of the terms you enter and for honoring the obligations you accept within the platform.

Section 07

No Securities, No Interest, No Investment Products

Paydback is designed exclusively for simple, principal-only informal loans between individuals who know each other personally. The platform does not support and expressly prohibits the creation of:

• Interest-bearing loan agreements
• Investment or profit-sharing arrangements
• Securities of any kind
• Commercial or business-purpose lending

Any attempt to use the platform for such purposes is a violation of these Terms and may result in immediate account suspension.

Section 08

Reminders and Notifications

As part of the Service, Paydback sends automated reminders to borrowers and lenders regarding upcoming or overdue repayment dates. These reminders are informational and structural in nature — they are not debt collection communications and should not be construed as such.

You may adjust your notification preferences within the app settings. Standard messaging and data rates may apply for SMS notifications. By using the Service, you consent to receive these communications.

Section 09

Suspension and Termination

We reserve the right to suspend or permanently terminate your account, with or without notice, for any of the following reasons:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Failure to meet eligibility requirements
• Requests from law enforcement or regulatory authorities
• Any conduct we determine, in our sole discretion, to be harmful to the Service, other users, or Paydback LLC

You may terminate your account at any time by contacting us at [email protected]. Termination does not affect any outstanding loan obligations between you and another user — those remain between the parties.

Section 10

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PAYDBACK LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee that any loan agreement facilitated through the platform will result in repayment.

Section 11

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYDBACK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, FAILED TRANSACTIONS, OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR PERSONAL INFORMATION.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PAYDBACK IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Section 12

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia. You consent to personal jurisdiction in those courts.

Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will make a good-faith effort to resolve your concern within 30 days.

Section 13

Private Beta Notice

Paydback is currently operating as a private beta product. The Service may be incomplete, subject to change, and may contain bugs or errors. Features described in marketing materials may not yet be fully available.

By participating in the beta, you acknowledge that you are using an early-stage product and agree to provide feedback where reasonably possible. Paydback LLC reserves the right to modify, limit, or discontinue the beta program at any time without prior notice.
